Canopi Terms of Use

Welcome to Canopi. These Terms of Use ("Terms") govern your access to and use of Canopi Technology USA's products and services, including our smart hardware (smart locks, access-control devices, cameras, and readers), the Canopi mobile application, cloud-based management dashboards, and associated software (collectively, the "Services").

Please read these Terms carefully before using your Canopi products. By creating an account or using the Services, you agree to be bound by these Terms.

1. Account Creation and Eligibility

To use most Canopi Services, you must register for a Canopi account through our mobile app or web portal.

  • Accuracy: You agree to provide accurate, current, and complete information during registration and to keep your account details updated.
  • Security: You are solely responsible for maintaining the confidentiality of your account credentials (passwords, PINs, and mobile keys) and for all activities that occur under your account.
  • Age Requirement: You must be at least 18 years of age (or the age of majority in your jurisdiction) to purchase products or register an account.

2. Software & App License

Canopi grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Canopi software and mobile application solely to control and monitor your authorized Canopi hardware.

  • Restrictions: You may not decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt any portion of the Canopi hardware firmware or software.
  • Updates: Canopi may automatically download and install security patches, firmware updates, and app upgrades to maintain system security and functionality.

3. Acceptable Use & Privacy Responsibilities

You are responsible for ensuring that your use of Canopi products complies with all applicable local, state, national, and international laws.

  • Surveillance & Recording: If your Canopi device includes a camera, microphone, or facial-recognition capabilities, you are solely responsible for complying with local laws regarding the recording of third parties, including posting clear physical signage where legally required.
  • No Tampering: You agree not to bypass, disable, or tamper with any physical or digital security measures built into Canopi devices or network protocols.

4. Subscriptions, Fees, and Billing

Certain advanced features, cloud-storage plans, and enterprise management tools require a paid subscription.

  • Billing: Subscriptions are billed on a recurring basis (monthly or annually) as selected during signup.
  • Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, your access to premium features will continue until the end of your current billing cycle, after which your account will revert to the free tier.

5. Hardware Warranty & Returns

  • Limited Warranty: Canopi hardware is backed by a 1-Year Limited Manufacturer's Warranty covering defects in materials and workmanship under normal use.
  • Returns: Direct hardware purchases are eligible for a full refund within 30 days of delivery, provided they are returned in their original packaging and undamaged condition.

6. Limitation of Liability & Disclaimer

While Canopi products are designed to enhance your physical security, no system is entirely foolproof.

  • No Guarantee of Absolute Security: Canopi does not guarantee or warrant that our Services will prevent unauthorized access, intrusion, property theft, or physical harm.
  • Emergency Services: Canopi hardware is not a monitored emergency response system (unless you have explicitly contracted for a third-party professional monitoring add-on). It is your responsibility to contact emergency services in the event of an emergency.
  • Maximum Liability: To the maximum extent permitted by law, Canopi Technology USA shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of, or inability to use, the products.

7. Termination

Canopi reserves the right to suspend or terminate your account or access to our cloud services at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or pose a security risk to our network.

8. Governing Law

These Terms and any disputes arising out of them shall be governed by and construed in accordance with the laws of the United States and the State in which Canopi Technology USA is incorporated, without regard to its conflict of law principles.
